The “$50 TOY GIFT CARD GIVEAWAY” (“Sweepstakes”) starts at 12:00 a.m. Pacific Standard Time (“PST”) on 8/17/08 and ends at 11:59 p.m. PST on 12/13/08 (“Entry Period”). The sponsor (“Sponsor”) of the Sweepstakes is Toys to Grow On, Inc., 2695 E. Dominguez St., Carson, CA 90895. The Sweepstakes is subject to these Sweepstakes official rules (“Official Rules”), and by entering the Sweepstakes, entrant (“Entrant”) agrees to be bound by them.

ELIGIBILITY: Sweepstakes is open only to legal residents of the United States (except residents of Puerto Rico, all U.S. territories and possessions, and overseas military installations) who as of the date of their entry into the Sweepstakes are eighteen (18) years of age or older, and who have Internet access as of 8/17/08. Employees of Sponsor, its parent company and its affiliates, as well as members of such employees’ immediate families (spouses, children, siblings, parents) or households (whether or not related), are not eligible to participate in the Sweepstakes. Sweepstakes void where prohibited or restricted by law. Entrant must have Internet access as of 8/17/08, in order to enter the Sweepstakes. Each Entrant must be the rightful owner (or have authorized use) of the e-mail address identified in the Entrant’s entry. In the event of a dispute as to the identity of a winner, the winner will be deemed to be the natural person in whose name the e-mail account associated with the provided e-mail address was opened.

HOW TO ENTER: During the Entry Period, individuals interested in participating may enter the Sweepstakes by logging on to http://www.toystogrowon.com (“Sweepstakes Site”) and by providing their first and last name, e-mail address, and catalog source code (optional) from the Toys to Grow On catalog in accordance with the instructions set forth on the Sweepstakes Site (“Online Entry”). Once all of the Online Entry information has been provided by the individual submitting the Online Entry, Entrant must click on the “Submit” button to transmit the Online Entry information to Sponsor in order to receive one (1) entry into the Sweepstakes. Entrant must accurately provide all of the requested information to be eligible to win. TO BE ELIGIBLE FOR THE WEEKLY PRIZES, ALL ONLINE ENTRIES MUST BE RECEIVED BY 11:59 P.M. PST ON THE LAST DAY OF THE APPLICABLE WEEKLY ENTRY PERIOD. The Sweepstakes Site’s database clock will be the official timekeeper for this Sweepstakes. All entries must be submitted in the name of an individual person and/or e-mail address, and the prize can only be awarded to the person whose name is on the winning entry. Entries generated by script, macro or other automated means will be void. ELIGIBLE ENTRANTS MUST SUBMIT THE REQUESTED ENTRY INFORMATION IN ACCORDANCE WITH THESE OFFICIAL RULES. NO OTHER METHOD OF SUBMISSION WILL BE ACCEPTED. Participation in the Sweepstakes constitutes Entrant’s understanding of and full and unconditional agreement to and acceptance of these Official Rules.

HOW TO WIN: Four (4) weekly prize winners (collectively, the “Weekly Prize Winners”) will be randomly selected every week during the weekly entry period (“Weekly Entry Period”) as designated below, within three (3) business days immediately following the last day of every Weekly Entry Period, by a representative of Sponsor, from among all eligible entries received during the applicable Weekly Entry Periods.

The decision of the judges will be final and binding in all matters. The odds of winning will depend on the total number of eligible entries received during the applicable Weekly Entry Period. Sponsor will notify each Weekly Prize Winner, via e-mail, by using the e-mail address that was provided to Sponsor on the Online Entry form used to enter the Sweepstakes. The Weekly Prize Winner must acknowledge receipt of the notification from Sponsor that they have won a prize (“Prize”) within seven (7) calendar days of receiving such notification from Sponsor. Weekly Prize Winner’s acknowledgement to Sponsor must be sent either via e-mail to Sponsor at the following e-mail address: toyinfo@toystogrowon.com, or via telephone, by calling Sponsor at (800) 874-4242, Monday through Friday, between the hours of 6:00 a.m. and 6:00 p.m. PST. Noncompliance within this time period or failure of potential Weekly Prize Winner to respond to a notification attempt within seven (7) calendar days of such attempt may result in disqualification and, at Sponsor’s discretion, an alternate winner may be selected. If (i) any Prize or Prize notification is returned as undeliverable, (ii) a potential Weekly Prize Winner declines his or her Prize or (iii) a potential Weekly Prize Winner fails to comply with any of the Official Rules as outlined herein, such potential Weekly Prize Winner will be disqualified and an alternate winner will be selected by random drawing at the Sponsor’s sole discretion. Weekly Prize Winners must meet all eligibility requirements of this Sweepstakes, including, but not limited to, the timely execution and return of all necessary releases and documents that are required by Sponsor.

ONLY ONE (1) ONLINE ENTRY INTO THE SWEEPSTAKES PER PERSON AND/OR E-MAIL ADDRESS PER WEEKLY ENTRY PERIOD WILL BE ACCEPTED. ANY ATTEMPTED ONLINE ENTRIES IN EXCESS OF THAT LIMIT SHALL BE DEEMED VOID. NO ENTRANT MAY WIN MORE THAN ONE (1) WEEKLY PRIZE DURING THE ENTIRE SWEEPSTAKES ENTRY PERIOD.

The Sponsor is not responsible for misdirected, incomplete, lost, late, illegible, undelivered, inaccurate or delayed entries, or for technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions, or other errors or problems which may limit or affect a person’s ability to participate in the Sweepstakes, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the Prizes or in any Sweepstakes-related materials. In the event of sabotage, acts of God, terrorism or threats thereof, computer virus or other events or causes beyond the Sponsor’s control, which corrupt the integrity, administration, security or proper operation of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to modify, cancel or suspend the Sweepstakes. In the event of cancellation, Sponsor reserves the right to award Prizes from among all eligible, non-suspect entries received prior to the event requiring such cancellation. False or deceptive entries or acts will render the Entrant ineligible. All entries become the property of the Sponsor and will not be acknowledged or returned.

PRIZES: Four (4) Weekly Prize Winners will each receive one (1) Fifty-Dollar ($50) Toys to Grow On gift card, at an approximate market value (“AMV”) of Fifty Dollars ($50) per Weekly Prize Winner for each individual week of the Entry Period. A total of Sixty-Eight (68) Prizes will be awarded during the Sweepstakes Entry Period. TOTAL AMV OF ALL PRIZES (68 PRIZES): Three Thousand, Four Hundred Dollars ($3,400). Odds of winning the Weekly Prize depends on the total number of eligible Entries received for the Sweepstakes. Weekly Prizes are nontransferable, non-assignable and have no cash value. No substitution or transfer of prizes or cash redemptions permitted by the Weekly Prize Winners. No portion of the Weekly Prize may be sold, bartered or exchanged by Weekly Prize Winner. Gift cards are subject to the redemption policies of Toys to Grow On, Inc. Once a Weekly Prize Winner receives his or her Prize from Sponsor, Sponsor is not responsible for reimbursing the Weekly Prize Winner for any theft, destruction, manipulation or loss associated with his or her gift card. No substitution or transfer of Prizes or cash redemptions permitted by the Weekly Prize Winners. Sponsor reserves the right to substitute for any reason whatsoever a prize (or portion thereof) of comparable or greater value, at its sole discretion. Prizes are awarded “as is,” with no warranty or guarantee, either expressed or implied by Sponsor.

Sponsor will deliver the Weekly Prize to the eligible Weekly Prize Winner within two (2) weeks following the completion of the Weekly Prize Winner verification process. If a Weekly Prize Winner receives a defective gift card, the Weekly Prize Winner should call (800) 874-4242, Monday through Friday, between the hours of 6:00 a.m. and 6:00 p.m. PST to report the issue to the Sponsor.

The Weekly Prize Winners are responsible for the reporting and payment of all taxes (if any) as well as any other costs and expenses associated with acceptance and use of a Prize not specified herein as being awarded. All Prize details are at Sponsor’s sole discretion. Acceptance of the Weekly Prize constitutes permission (except where prohibited) granted to Sponsor to use the Weekly Prize Winner’s name, likeness, pictures, photographs, voice, biographical information and statements for publicity, advertising, trade and promotional purposes in any and all media and manner and by any and all means now known or hereafter devised in perpetuity worldwide without additional compensation or limitation of any kind, and without the need to get any further consent.

GENERAL CONDITIONS: Sponsor shall not be responsible or liable for Online Entries that are entered by other than human means (such as by an automated computer program or any nonhuman mechanism, entity, or device), in excess of the stated limit, or for Online Entries or entry photographs that are late, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, garbled, or otherwise not in compliance with the Sweepstakes Official Rules, and all such Online Entries will be disqualified.

Proof of entering information at the Sweepstakes Site is not considered proof of delivery or receipt. Illegible, incomplete, mechanically reproduced Entries and Online Entries in excess of the number stated above from any one (1) valid e-mail address and/or person will be disqualified. All Online Entries become the property of Sponsor and will not be acknowledged or returned. False, fraudulent or deceptive Online Entries or acts shall render Entrants ineligible.

If for any reason the Sweepstakes is not capable of running as planned, or if the Sweepstakes or the Sweepstakes Site (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of Online Entries in accordance with these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by Entrants, fraud, technical failures, or any other causes, in the Sponsor’s sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Sweepstakes or the granting of the Weekly Prize or any component thereof, Sponsor reserves the right, in its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend the Sweepstakes or any portion thereof. In the event the Sweepstakes is canceled, and to the extent possible as determined by Sponsor, Sponsor will conduct a random drawing to select a new Entrant from among all eligible, non-suspect Entries received prior to the time of the action or event warranting such cancellation, and to award the Weekly Prize (or any awardable portion(s) thereof). In the event that Sponsor determines that there are no eligible Entrants, Sponsor reserves the right in its sole discretion to not award the Weekly Prize (or any portion thereof).

ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE (INCLUDING THE SWEEPSTAKES SITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Entrant warrants and represents to Sponsor that he or she is the authorized account holder of the e-mail address that is being provided to Sponsor on the Online Entry form. The authorized account holder is deemed to be the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address (“Authorized Account Holder”). The potential Weekly Prize Winner may be requested to provide the Sponsor with proof that he or she is the Authorized Account Holder of the e-mail address associated with the winning Online Entry and that all eligibility requirements are met. If a dispute arises between the person who actually submitted the Online Entry on the Sweepstakes Site and the person whose name appears as the Authorized Account Holder on the e-mail address that was used and submitted on the same Online Entry, the Online Entry will be deemed to have been submitted by the person whose first and last name was provided to Sponsor on the Online Entry without regard to the e-mail address that was used.

PRIVACY: All information collected by Sponsor in connection with the Online Entries will be subject to Sponsor’s privacy policy (“Privacy Policy”) available at http://www.toystogrowon.com/static/privacy_security.

Once submitted, the Entry information becomes the sole property of Sponsor and will not be acknowledged or returned. Notwithstanding anything to the contrary in Sponsor’s Privacy Policy, and except where prohibited by law, entry and/or a Weekly Prize Winner’s acceptance of Prize constitutes permission of such Entrant for Sponsor to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, without limitation, on the website or associated Web pages, such Entrant’s first name, last name, city and state, for purposes of publishing the winners list (“Winners List”), advertising, trade, promotion and publicity. Additionally, if an Entrant chooses to opt-in to receive communications from Sponsor, his or her personal information will be subject to the Sponsor’s Privacy Policy and terms of service (if applicable), and such Entrant agrees to receive additional e-mail communication from Sponsor. Opting in to receive communications does not improve one’s chances of winning a prize. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes.

RELEASE OF LIABILITY: The Sponsor expressly disclaims any responsibility and Entrants agree to indemnify and hold harmless the Sponsor from and against any and all claims, actions, demands and/or liability for injury, damage or loss whatsoever relating to or arising in connection with participation in this Sweepstakes (regardless of the cause of such injury, damage or loss) and/or the delivery and/or subsequent use or misuse of any of the Prizes awarded.

By entering the Sweepstakes, each Entrant agrees (i) to be bound by these Official Rules and by all applicable laws and decisions of Sponsor which shall be binding and final; (ii) to waive any rights to claim ambiguity with respect to these Official Rules; (iii) to waive all of his or her rights to bring any claim, action, or proceeding against the Sponsor in connection with the Sweepstakes (unless otherwise prohibited by law); and (iv) to release, indemnify, and hold harmless the Sponsor and its respective officers, directors, employees, agents, shareholders, representatives, successors and assigns (collectively, the “Releasees”) from any liability (including, but not limited to, liability for defamation, libel, slander, invasion of privacy, infringement of publicity or any intellectual property rights, any property loss, damage, personal injury, bodily injury, death, expense, accident, delay, inconvenience or irregularity, and any indirect, incidental, consequential, special, punitive or exemplary damages of any kind even if the Releasees have been advised of the possibility of such loss or damages), costs and expenses (including, without limitation, reasonable outside attorneys’ fees) that may arise in connection with (a) the Sweepstakes, including, but not limited to, any Sweepstakes-related activity or element thereof, and the Entrant’s entry, participation or inability to participate in the Sweepstakes, (b) the violation of any third-party privacy, personal, publicity or proprietary rights, (c) typographical errors in these Official Rules or any Sweepstakes promotional materials, (d) acceptance, attendance at, participation in, possession, defects in, use, misuse or inability to use the Weekly Prize (or any component thereof), (e) any change in the prizing (or any components thereof) due to unavailability, business or creative considerations, or due to reasons beyond Sponsor’s control, including, but not limited to, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not such action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened or actual terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slowdown, civil disturbance, insurrection, riot, or any other cause beyond the Sponsor’s control, or as otherwise permitted in these Official Rules, (f) any interruptions in or postponement, cancellation, or modification of the Sweepstakes, (g) human error, (h) incorrect or inaccurate transcription, receipt or transmission of any part of the Online Entry (including, without limitation, the Online Entry information or any parts thereof), (i) any technical malfunctions or unavailability of the Sweepstakes Site or any telephone network, computer online system, computer timing and/or dating mechanism, computer equipment, software, or Internet service provider, or mail service utilized by the Sponsor or by an Entrant, (j) interruption or inability to access the Sweepstakes, the Sweepstakes Site or any other Sweepstakes-related Web pages, or any online service via the Internet due to hardware or software compatibility problems, (k) any damage to Entrant’s (or any third person’s) computer and/or its contents related to or resulting from any part of the Sweepstakes, (l) any lost/delayed data transmissions, omissions, interruptions, defects, and/or any other errors or malfunctions, (m) any late, lost, stolen, mutilated, misdirected, illegible, delayed, garbled, corrupted, destroyed, incomplete, undeliverable or damaged Online Entries, (n) any wrongful or negligent, or unauthorized act or omission on the part of the Sponsor, or any of its agents or employees, (o) any lost, late, stolen, misdirected, damaged or destroyed gift card that was sent to the Weekly Prize Winner. The Weekly Prize Winner hereby acknowledges that the Sponsor has neither made nor is in any manner responsible or liable for any expressed or implied warranty, representation or guarantee, expressed or implied, in fact or in law, relative to the Weekly Prize or any component thereof.

ARBITRATION: BY ENTERING INTO THE SWEEPSTAKES, EACH ENTRANT AGREES THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THIS SWEEPSTAKES (INCLUDING WITHOUT LIMITATION ITS PRIZING) OR RELATING TO THESE OFFICIAL RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION, SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES, CALIFORNIA, BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280 ET SEQ. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES). IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY JAMS. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC. THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR’S AWARD IS BASED. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR’S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEYS’ FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW.

GOVERNING LAW: Each Entrant acknowledges that the internal substantive laws (as distinguished from the choice of law rules) of the State of California and the United States of America applicable to contracts made and performed entirely in California shall govern the validity and interpretation of these Official Rules and all other causes of action (whether sounding in contract or in tort) arising out of or relating to these Official Rules.
